The capital increase process enhances foreign expansion plans

Yesterday, the Qatar Stock Exchange and Baladna Company announced the completion and successful completion of the process of increasing the company’s capital through issuing priority rights, listing the resulting new shares and starting their trading on the Qatar Stock Exchange.
The issuance included offering 535,996,240 new shares to current shareholders, one new share for every four existing shares, at a subscription price of 1.01 riyals per share. The subscription period closed on August 17 of last year.

The process was completed by selling all unsubscribed shares, amounting to 120,507,405 shares, at the beginning of the trading session, which led to coverage of all new shares offered by 100%. With the completion of the process, the company’s issued and paid-up capital increased from 2,143,984,962 riyals to 2,679,981,202 riyals, distributed into 2,679,981,202 shares, representing an increase of 25%. This will be one of the largest capital increases ever completed. In accordance with the offering, listing, merger and acquisition rules issued by the Qatar Financial Markets Authority in December 2025. To celebrate the completion of this process, the Qatar Stock Exchange hosted a bell-ringing ceremony, in the presence of a number of senior officials and representatives of the executive departments of both the Qatar Stock Exchange and Baladna, reflecting the importance of this prominent milestone in the company’s journey.

Notable station
On this occasion, Mr. Moataz Al-Khayyat, Chairman of the Board of Directors of Baladna, said: “The successful completion of the capital increase represents a milestone in Baladna’s growth journey, and embodies the great confidence placed by our shareholders in our strategy and future plans. This increase will allow us to accelerate the implementation of our expansion plans, enhance our production capabilities, and consolidate our presence in regional and international markets, supporting our continued contribution to enhancing sustainable food security. The complete sale of the remaining shares reflects the strong demand from investors for Baladna’s shares. The company’s shares also closed the trading session up by 1.51% at a price of 1.28 riyals, confirming the success and completion of the issuance process. We extend our sincere thanks and appreciation to our shareholders for their continued trust and support, and to the Qatar Stock Exchange, the Qatar Financial Markets Authority and Edaa Company for the effective cooperation that contributed to the completion of this process efficiently and smoothly.”

Pivotal role
For his part, Mr. Abdullah Mohammed Al-Ansari, CEO of the Qatar Stock Exchange, said: “Completing the listing of Baladna’s capital increase shares represents an important milestone, and confirms the pivotal role played by the Qatar Stock Exchange in enabling listed companies to access funding sources through the capital market, and benefit from various financing solutions that support their plans for growth and expansion. The success of implementing this process also reflects the efficiency of coordination and the effectiveness of cooperation between regulatory authorities, market infrastructure institutions and other concerned parties.”
He added: “The Qatar Stock Exchange continues to work on developing an integrated and effective market system that allows companies to benefit from the tools and opportunities provided by the capital market, which contributes to enhancing the depth of the market and expanding the scope of investment opportunities available to investors, and supports the growth of the private sector and achieving the economic development goals of the State of Qatar.”

International projects
In turn, Mr. Nasser Al-Ansari, a member of the Board of Directors of “Baladna”, said that the company is working to strengthen its financial strength and expand the scope of its business outside the State of Qatar, noting that the company is moving forward in implementing international projects in both Syria and Algeria, as part of its plan to expand and grow in foreign markets.
Al-Ansari explained in press statements that the company has a large project in Syria, pointing out that “Baladna” products are already distributed in the Syrian market. He said: “We are currently testing the extent of consumer demand for our products, and we are following the market’s response to them, in preparation for moving to more expanded stages.”
He stressed that the company is looking forward to further expansion during the next phase, explaining that “the two international projects that we are currently working on are very large projects, and they require a great deal of attention, details, and careful study, in order to ensure that we achieve the feasibility and desired returns for investors, and not disappoint their expectations.”

New products
Regarding the new products, Al-Ansari pointed out that the company is constantly working to add new products to its portfolio, and said: “Today we add ice cream to our product range. As you can see, most of our products and businesses revolve around our core products, so we continue to focus on developing these products and enhancing our competitiveness.”
He added that “Baladna” has established a specialized research and development department, which works continuously to conduct studies and research with the aim of improving and developing products to meet the needs of consumers, stressing that this approach helps the company maintain its position among the most competitive companies in the market.

Promoting food security
Regarding the role of “Baladna” in enhancing food security in the State of Qatar, Al-Ansari explained that the company plays an important role by producing various food products and meeting the needs of the local market, stressing that the company has proven its ability to withstand and be flexible in various circumstances.
He said: “By producing these products and meeting market needs, we are contributing to enhancing food security in Qatar. We have proven for years, even before the establishment of this company in its current form, that we have a great deal of flexibility and ability to continue, and that we are always there to meet the needs of consumers.”
